Terms of Service

These Terms of Service ("Terms") govern your access to and use of GoodBibee Voice, an AI voice agent platform for home-service contractors (the "Service"). The Service is operated by GoodBibee, LLC, a Tennessee limited liability company doing business as GoodBibee Voice ("GoodBibee," "we," "us," or "our"). By creating an account or using the Service, you ("you" or "Customer") agree to be bound by these Terms. Subject to our Privacy Policy. If you don't agree, don't use the Service.

This document contains a binding arbitration agreement, a class-action waiver, and a jury trial waiver in §18, along with disclaimers of warranty and limitation of liability in §§14–15. Read those carefully.

1. What GoodBibee Voice does

GoodBibee Voice answers your incoming calls, talks to your callers using an AI voice agent, and delivers a structured dispatch summary of every call — name, number, address, problem, urgency — to your designated contact information via SMS, email, or both. We keep a log of recordings and transcripts you can review through your account. The specific features of the Service may change over time at our discretion; we'll provide reasonable notice of material changes to core functionality.

2. Who can use it

To use the Service you must: (a) be at least 18 years of age; (b) operate a legitimate business; and (c) have the authority to bind that business to these Terms. The Service is built for home-service trades — primarily HVAC, plumbing, and similar work.

We don't take clients in regulated industries that require specialized compliance handling — including healthcare (HIPAA), financial services (GLBA), debt collection (FDCPA), legal services, and law enforcement — without a separate written agreement. GoodBibee is not a HIPAA Business Associate and is not a GLBA-covered financial institution. You agree not to configure GoodBibee Voice to handle protected health information, non-public personal financial information, debt-collection communications, or other regulated data categories.

2.A SMS program (callers and contractors)

GoodBibee, LLC operates GoodBibee Voice, an AI voice agent that answers inbound calls on behalf of contractor businesses (HVAC, plumbing, and similar home services). As part of GoodBibee Voice, we send SMS text messages to (a) contractors as dispatch summaries on every call and (b) callers who have opted in verbally during a call.

By opting in to text messages — whether as a contractor signing up for service, or as a caller during an inbound call with a GoodBibee Voice AI voice agent — you agree to the following terms in addition to the rest of these Terms of Service:

3. How you agree to these terms

You accept these Terms when you sign up for GoodBibee Voice through our website, an order form, or any other electronic mechanism we make available. Your electronic acceptance — whether by clicking, typing your name, or any other affirmative action through our interface — constitutes a binding electronic signature under the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and applicable state electronic-signature law. You acknowledge you've had the opportunity to read these Terms, including the arbitration agreement, class-action waiver, and jury trial waiver in §18 and the disclaimers in §§14–15.

4. Account setup and your responsibilities

When you register, you agree to provide accurate, current, and complete information, including:

You're responsible for keeping this information accurate and current. Inaccurate or outdated configuration may cause the AI agent to give your callers incorrect information. You're responsible for all activity under your account.

5. Call recording

GoodBibee Voice records every incoming call to your business number while the service is active. The AI voice agent identifies itself and discloses the recording at the start of the call. By using GoodBibee Voice, you're directing us to record on your behalf, store the recordings, generate transcripts, and deliver dispatch summaries derived from those calls.

You're solely responsible for ensuring compliance with all applicable federal, state, and local laws governing call recording and consent — including the laws of the jurisdictions in which you operate and from which your callers originate. Tennessee, where we're based, is a one-party-consent state, and the AI's identification at the start of the call satisfies that. Several states are all-party-consent states (California, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Pennsylvania, Washington, and others). If your business takes calls from or operates in those states, you're responsible for any additional disclosures, signage, or notifications required. We provide general guidance, not legal advice.

If you subscribe to GoodBibee Voice, you represent and warrant that:

(a) Every telephone number you configure for inbound delivery, outbound callback, or SMS delivery through GoodBibee Voice is owned or controlled by you, by your employees acting within the scope of employment, or by a person who has given you prior express consent to be contacted at that number for the purposes for which GoodBibee Voice will be used;

(b) You are solely responsible for complying with the Telephone Consumer Protection Act (47 U.S.C. § 227), the Telemarketing Sales Rule (16 C.F.R. Part 310), state mini-TCPA statutes (including Florida's FTSA, Oklahoma's TCPA, Washington's Commercial Electronic Mail Act, and analogous laws), and all state call-recording-consent statutes applicable to your callers;

(c) You authorize GoodBibee Voice to record inbound calls on your behalf, you acknowledge that GoodBibee Voice provides a recorded disclosure to callers at the start of each call as one component of compliance, and you remain responsible for any additional disclosures, signage, or notifications required by your jurisdiction; and

(d) You will indemnify GoodBibee for any claim arising from numbers you designate, consent representations you make, or recording-consent failures attributable to your configuration or operation, subject to the carve-out in §16.

7. Dispatch delivery

Dispatch summaries are a core component of the Service. At signup you'll designate your delivery method — SMS, email, or both. You can update your delivery preference any time by contacting us.

Message types. Dispatch summaries following answered calls, billing and account notifications, and service-related updates. We do not send marketing messages to dispatch contact information.

If SMS is your sole delivery method and you reply STOP, you'll stop receiving dispatch summaries. If you opt out of SMS without configuring an alternative (email), the account remains active and billing continues under §9. Contact us to set up an alternative, or email cancel@goodbibee.com to cancel.

Email delivery. By providing an email address for dispatch delivery, you consent to receive email messages from GoodBibee Voice containing dispatch summaries, billing notifications, and service-related updates. We do not send marketing emails to dispatch email addresses. You may unsubscribe from dispatch emails at any time by contacting us; if email is your sole delivery method, unsubscribing will prevent you from receiving dispatch summaries.

8. Acceptable use

The Service is a managed platform we operate and configure. You don't directly control, program, or configure the AI voice agent. Your use of the Service is limited to receiving its output (dispatch summaries, call recordings, and transcripts) and providing the business information described in §4.

You agree not to:

Violation of this section may result in immediate suspension or termination of your account, with refunds (if any) handled as described in §10.

9. Fees, billing, and taxes

Pricing is presented at signup and on our pricing page. GoodBibee Voice is offered on two billing options: a standard (monthly) rate and an annual rate.

Standard rate. The first three (3) months — the Initial Term described in §10 — are charged in advance at signup. After the Initial Term, your plan continues on automatic monthly billing at the standard rate until you cancel. The standard monthly rate for your plan is the rate shown at signup and on our pricing page, and that same rate is used for any refund calculation in §10. At least thirty (30) days before the end of the Initial Term, we will remind you that monthly billing is about to begin and that you may switch to the annual rate.

Annual rate. Under the annual rate, you pay in advance for a full twelve (12) month term at the price of eleven (11) months (one month free). The annual term does not renew automatically. We will send you a reminder at least forty-five (45) days before your annual term ends so you can decide whether to renew; renewal is at your option and requires a new payment authorization.

Switching to annual. At any time during the Initial Term, you may switch from the standard rate to the annual rate. If you switch on or before the end of the Initial Term, your annual term is treated as beginning on your original Activation Date, the amounts you have already paid are credited toward the annual price, and the remaining balance is charged when you switch. If you do not switch by the end of the Initial Term, you continue on the standard monthly rate; you may still move to the annual rate later, but it will begin a new twelve (12) month term starting on the date that annual payment is received.

Payment authorization. All fees are charged through Stripe. By signing up, you authorize GoodBibee to store your payment method and charge it for the plan you select. Under the annual rate, this is a single charge for the twelve-month term and does not recur. Under the standard rate, this authorizes the Initial Term charge at signup and ongoing monthly charges after the Initial Term until you cancel. You're responsible for keeping a valid, authorized payment method on file.

Failed payments. If a payment fails and remains unresolved for more than seven (7) days, we may suspend your access to the Service. If a payment remains unresolved for more than thirty (30) days, we may terminate your account.

Refunds. Except for the cancellation refunds described in §10, we don't issue pro-rated refunds for partial billing periods. In the event of an extended service outage or systematic failure to deliver dispatch summaries directly attributable to us, we'll issue a credit for the affected period at our reasonable discretion.

Price changes. We'll provide at least thirty (30) days' written notice before any change to your billing rate takes effect. Written notice includes email to the address on file. Rate changes do not apply during a prepaid annual term or during any promotional or founding rate-lock period stated at signup, and do not apply retroactively to any billing period already paid.

Taxes. You're responsible for any taxes, duties, or fees imposed on your purchase by your jurisdiction, other than U.S. federal and state taxes for which GoodBibee is registered and collects directly.

9A. Included Usage and Fair Use

Each plan includes the monthly volume of Answered Conversations shown on our pricing page and stated in your order confirmation. An "Answered Conversation" means an inbound call from a live caller that stays connected for more than forty-five (45) seconds. Calls that do not count include spam calls, robocalls, misdials, and any call disconnected within forty-five (45) seconds.

We do not charge automatic overage fees, and we do not interrupt, throttle, or degrade the Service if you exceed your included volume — calls continue to be answered normally. If your Answered Conversation volume exceeds your plan's included volume in two (2) or more consecutive billing cycles, we may propose a plan change or custom volume pricing. Any such change requires your written agreement and takes effect no sooner than thirty (30) days after we notify you.

10. Term and termination

These Terms are effective when you register. Your Service begins on the date we activate it (the "Activation Date"), which we will confirm to you in writing. All terms, billing periods, and refund calculations are measured from the Activation Date.

Standard rate — Initial Term. The Initial Term is ninety (90) calendar days from the Activation Date. During the Initial Term, neither party may terminate for convenience. Fees for the full Initial Term are due regardless of whether you use the Service during that period, and the Initial Term is non-refundable. After the Initial Term, the Service continues month-to-month at the standard monthly rate until you cancel.

Annual rate — Term. The annual rate is a prepaid twelve (12) month term. If you start on the annual rate, the term begins on your Activation Date. If you switch from the standard rate on or before the end of the Initial Term, the annual term is treated as beginning on your original Activation Date. If you move to the annual rate after the Initial Term, a new twelve (12) month term begins on the date that annual payment is received. The annual term does not renew automatically.

How to cancel. You may cancel at any time by emailing cancel@goodbibee.com. You do not need to give advance notice, and your cancellation is effective on the date you send it. This is the cancellation method for these Terms, notwithstanding the general notice address in §21.

Cancelling before activation. If you cancel before your Activation Date — regardless of the plan you selected — we refund what you paid minus the one-time $1,000 fee. If GoodBibee is unable to activate your Service, there is no fee and we refund everything you paid.

Cancellation and refunds — standard rate. The first three months (the Initial Term) carry no early-cancellation fee, but they are non-refundable. You may cancel during the Initial Term at any time; we keep the Initial Term fee in full, and your Service runs through the end of the Initial Term you paid for. If you cancel after the Initial Term, we retain the most recent monthly fee in full, your Service continues through the end of that paid month, and no further amounts are charged. We do not refund the current month, whether or not you use the Service during it.

Cancellation and refunds — annual rate. If you start on the annual rate and cancel within fourteen (14) days of your Activation Date, we refund everything you paid except a one-time early-cancellation fee of $1,000. This 14-day grace period applies only to customers who begin on the annual rate; it does not apply to customers who switch into the annual rate from the standard rate. If you cancel after the 14-day grace period — or at any time, if you switched into the annual rate — your refund equals the total amount you paid for the annual term, minus each month of service elapsed since the term began (counting any partial month as a whole month) at the standard monthly rate for your plan, minus a one-time early-cancellation fee of $1,000. The refund will never be less than $0.

Termination by GoodBibee for cause. We may suspend or terminate your account immediately, without prior notice, if (a) you use the Service for illegal purposes or (b) you commit a material breach of these Terms. For non-payment, the process in §9 applies. If we terminate you for cause: under the annual rate, your refund is calculated the same way as an early cancellation, including the $1,000 fee; under the standard rate, we retain the current month's fee in full and charge nothing further.

Termination by GoodBibee for convenience. Except during the standard-rate Initial Term — during which neither party may terminate for convenience — we may terminate your account for convenience by giving you notice. Your Service will end on the earlier of (a) fifteen (15) days after we send notice, or (b) the end of your current service month, measured from your Activation Date. If we terminate for convenience, we refund any amounts you prepaid for service after your end date, with no early-cancellation fee — for an annual customer, your unused full months at the standard monthly rate; for a standard customer, any amount you paid for service beyond your end date.

Refund timing. Any refund due under this section is issued within ten (10) business days of the effective date of cancellation or termination.

Your phone number. You keep your own business phone number at all times. GoodBibee does not take over, port, or claim ownership of your number. The Service works by forwarding calls from your existing number to a number GoodBibee operates, where the AI voice agent answers. If you cancel, or if we terminate the Service, you simply turn off call forwarding and your calls ring as they did before — there is nothing to transfer back. Any telephone number GoodBibee provisions to receive your forwarded calls remains GoodBibee's property and may be released or reassigned after termination.

Data after termination. You may request a copy of your call recordings and transcripts within thirty (30) days of termination. After this thirty (30) day window, we'll delete your Customer Data and Service Output within a commercially reasonable period not to exceed sixty (60) days, unless retention is required by law.

11. Your data and our license

Your Data. You retain ownership of all business information, call-handling instructions, and other materials you give us in connection with the Service ("Customer Data"). The call recordings, transcripts, and dispatch summaries generated by the Service on your behalf ("Service Output") are owned by you.

License to us. You grant GoodBibee a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze Customer Data and Service Output solely to: (a) provide and maintain the Service; (b) improve the quality, accuracy, and performance of the Service and its underlying AI models; and (c) generate anonymized, aggregated, and de-identified data that does not identify you, your business, or your callers. We may use such anonymized and aggregated data without restriction.

Restrictions on us. We will not sell Customer Data or Service Output. We will not share Customer Data or Service Output with third parties except as necessary to provide the Service (e.g., telephony providers, cloud infrastructure), as required by law, or with your prior written consent. We will use commercially reasonable administrative, technical, and physical safeguards to protect Customer Data and Service Output from unauthorized access, disclosure, or use.

Law enforcement. We may disclose Customer Data or Service Output if required by law, subpoena, court order, or government regulation. Where permitted by law, we'll give you reasonable advance notice.

Our intellectual property. GoodBibee and its licensors retain all right, title, and interest in and to the Service, including all software, AI models, algorithms, voice agent configurations, user interfaces, designs, documentation, and all related intellectual property rights (collectively, "GoodBibee Materials"). These Terms do not grant you any ownership in the GoodBibee Materials. Your right to use the Service is limited to the license implicitly granted by these Terms for the duration of your subscription. All trademarks, service marks, logos, and trade names associated with GoodBibee and GoodBibee Voice are the property of GoodBibee, LLC and may not be used without our prior written consent.

12. Service availability

We use commercially reasonable efforts to maintain availability of the Service. The Service depends on third-party infrastructure (telephony, AI model providers, cloud hosting), and interruptions may occur. We do not guarantee uninterrupted, error-free, or secure operation.

GoodBibee Voice is a tool, not a substitute for your own dispatch judgment. You should maintain alternative means of receiving customer communications.

13. AI output disclaimer

The AI voice agent may produce inaccurate, incomplete, or erroneous output — including misidentified caller information, mis-heard addresses, mis-classified urgency, mis-scheduled appointments, and incomplete or imprecise transcripts or summaries. All AI-generated output is provided for informational purposes only. You are solely responsible for verifying the accuracy of all dispatch information before acting on it. We do not guarantee that any specific call will be answered, that any specific dispatch summary will be accurate, or that any transcript or recording will be complete or verbatim.

SMS messages sent through GoodBibee Voice are delivered by third-party carriers and our telephony provider (Twilio). We do not guarantee message delivery, delivery timing, or that any message will reach you. Carriers are not liable for delayed or undelivered messages.

14. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOODBIBEE AND ITS AFFILIATES, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS (COLLECTIVELY, THE "GOODBIBEE PARTIES") EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE — INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, THE GOODBIBEE PARTIES MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE GOODBIBEE PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, CUSTOMERS, OR ANTICIPATED SAVINGS — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE GOODBIBEE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE GOODBIBEE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO GOODBIBEE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF ANY LIMITED REMEDY SET FORTH HEREIN HAS FAILED OF ITS ESSENTIAL PURPOSE.

THE PARTIES EXPRESSLY ACKNOWLEDGE THAT THESE LIMITATIONS ON POTENTIAL LIABILITIES WERE AN ESSENTIAL ELEMENT IN SETTING CONSIDERATION UNDER THESE TERMS.

16. Indemnification

You agree to indemnify, defend, and hold harmless GoodBibee, LLC and its members, officers, employees, agents, and affiliates from any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law, regulation, or third-party right — including the TCPA, state mini-TCPA statutes, and state call-recording-consent statutes; (d) the content of calls received on your behalf through the Service; (e) the telephone numbers you designate and the consents you represent to hold under §6; or (f) any dispute between you and any third party (including your customers or callers) arising from your use of the Service — except to the extent any such claim arises from GoodBibee's own gross negligence or willful misconduct, in which case GoodBibee shall bear its proportionate share of liability.

17. Force majeure

Neither party is liable for any failure or delay in performing its obligations under these Terms to the extent that the failure or delay results from circumstances beyond the party's reasonable control — including acts of God, natural disasters, pandemics, war, terrorism, riots, government actions or orders, labor disputes, power failures, internet or telecommunications failures, failures of third-party service providers (including telephony, AI model, and cloud hosting providers), cyberattacks, or any other force majeure event. During any such event, the affected party's obligations under these Terms are suspended for the duration of the event. Your payment obligations under §9 are not suspended by a force majeure event affecting GoodBibee.

18. Dispute resolution and binding arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Agreement to arbitrate. You and GoodBibee agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including the determination of the scope or applicability of this agreement to arbitrate — shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where applicable, its Supplementary Procedures for Consumer-Related Disputes. The Federal Arbitration Act ("FAA") governs the interpretation and enforcement of this arbitration provision.

Location. The arbitration shall take place in Coffee County, Tennessee, unless the parties mutually agree to a different location or to conduct the arbitration remotely.

Individual basis only — class-action waiver. All claims must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST GOODBIBEE.

Small claims exception. Either party may bring an individual action in small claims court for claims within that court's jurisdictional limits.

Intellectual property exception. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights (patents, copyrights, trademarks, trade secrets, and proprietary technology) without first submitting to arbitration.

Opt-out. You may opt out of this arbitration provision by sending written notice to voice@goodbibee.com within thirty (30) days of your initial registration for the Service. The notice must include your name, business name, account email, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, disputes will be resolved in accordance with the governing law and venue provisions in §19.

Jury trial waiver. TO THE EXTENT ANY CLAIM PROCEEDS IN COURT (FOR EXAMPLE, IF YOU OPT OUT OF ARBITRATION OR IF THE IP EXCEPTION APPLIES), EACH PARTY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

Limitation period. ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUED, OR IT IS PERMANENTLY BARRED, UNLESS APPLICABLE LAW PROHIBITS A SHORTENED LIMITATION PERIOD.

19. Governing law and venue

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-law provisions. If arbitration does not apply to a particular dispute (for example, if you validly opt out under §18 or if the IP exception applies), the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in or serving Coffee County, Tennessee.

20. Assignment

We may assign or transfer these Terms, in whole or in part, without restriction — including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer these Terms or any rights hereunder without our prior written consent, except that you may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of substantially all of your business assets, provided you give us prior written notice and the successor assumes your obligations in writing.

21. Notices

Written notices to GoodBibee must be sent to voice@goodbibee.com or by mail to GoodBibee, LLC, 1304 Bel Aire Dr., Tullahoma, TN 37388. We'll send written notices to the email address on file for your account.

22. Changes to these terms

We may modify these Terms at any time. If we make a material change, we'll notify you by email and post the updated Terms with a revised effective date at least fourteen (14) days before the change takes effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms.

23. General provisions

Entire agreement. These Terms, together with the Privacy Policy and any additional written agreement we sign with you, constitute the entire agreement between you and GoodBibee on this subject and supersede all prior or contemporaneous communications, whether oral or written.

Survival. §§6 (TCPA representations), 11 (Your data and our license), 13 (AI output disclaimer), 14 (Disclaimer of warranties), 15 (Limitation of liability), 16 (Indemnification), 18 (Dispute resolution and binding arbitration), 19 (Governing law), 20 (Assignment), 21 (Notices), and this §23 shall survive any termination or expiration of these Terms.

Severability. If any provision of these Terms is found unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

Headings. Section headings are for convenience only and do not affect interpretation.

Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.
